• At the outset of a project, Mac Grafix with the help of the client, identifies a person or a group of persons who would represent the client during the full life cycle of the project.This team is referred to as the Client Team (CT) which will primarily, be primarily responsible for defining the system requirements in terms of hardware, software, ISP etc and will be directly interacting with Mac Grafix (PMT)
  
  PMT would send a project status report on a weekly basis to the CT for its review who will be responsible for approval of the work done, periodically. Clarifications, whatsoever, would be duly communicated to CT and in turn, PMT will ensure a service level reply within 12 hours to CT on queries raised by the later on the project.
  
  CT would be responsible for the following activities:
  
  
• Provide PMT with requirements.
  
• Review and approve the Multimedia work.
  
• Review and approve of the Navigation framework in the site.
  
• Provide PMT with specific standards, if any, to be followed during the project, in absence of which PMT will follow its inhouse standards during the lifecyle of the project.
  
• Review and approval of Screen elements.

  2. Transactional pricing: Pricing is based on a flat fee per hour basis.
  
  3. Variable Pricing: This model involves use of a fixed price for basic services, with variances based on higher service levels.
  
  4. Risk/reward sharing: Pricing is linked to client’s performance
  
  The buyer will select a supplier using a pricing model that best fits the business objectives the buyer is trying to accomplish by outsourcing.

 

• Unless specified otherwise, the client owns all technology and intellectual property rights to the development.

 

• Mac Grafix ’s actions with respect to client’s information are guided completely by the intellectual property rights section of the agreement. General restrictions include non-usage of information for other purposes, restriction on subcontracting and disclosure on a need to know basis.

 

• Before the start of negotiations, Mac Grafix signs with every client a Non-Circumvention Non-Disclosure and Working Agreement (NCND) provided by the International Chamber of Commerce. Mac Grafix , in turn, signs a similar agreement with all its employees, directors and third parties such as vendors, attorneys, accountants and other consultants. This ensures for complete protection of client’s information.

 

• Open source code is used only after receiving client's approval and to the extent specified by the client.

 

• There are no export control issues governing outsourcing of software development services to India.

 

• The United Nations Commission on International Trade Law’s Model Law on International Commercial Arbitration will be used to resolve disputes.

 

• The place of arbitration for dispute resolution is mutually agreed by the Client and Mac Grafix and is clearly stated in the Agreement

 

• The Governing Law and Jurisdiction of the agreement is mutually agreed by the Client and Mac Grafix and is clearly stated in the Agreement.

 

• The cost of dispute resolution is borne by both Mac Grafix and the Client.

 

• Enforcement options in the event of a breach of any covenant of the Agreement include enforcement of the covenant by injunctive or other equitable relief ordered by a court of competent jurisdiction.

 

• Yes, the Client and Mac Grafix have the right to terminate the Agreement.

 

• Termination can occur under the following circumstances:
  
  - At the end of the term
  
  - By providing a prior written notice of a specified number of day mutually agreed upon
  
  - By providing a written notice to the other party of a breach of material provision to the agreement

 

• At termination, each party returns to the other all Proprietary or Confidential Information of the other party (and any copies thereof) in the party's possession or, with the approval of the party, destroy all such Proprietary or Confidential Information.

 

• The common modes of payment used by Mac Grafix are electronic fund Wire transfer using SWIFT.

 

• In the absence of a contractual agreement between Mac Grafix and Client, Mac Grafix requires the Client to raise a purchase order in its favor.
